Corporate Governance

Since its founding IDS Scheer has operated under responsible corporate governance and has conformed to the greatest extent to the German Corporate Governance Code. Both the Executive Board and the Supervisory Board of IDS Scheer are committed to these internal principles; neither body is aware of any incident that would breach these principles.

IDS Scheer’s Corporate Governance principles and its behavior are and have been in conformance with the applicable German Corporate Governance Code.

Specifically, the transparency required by the Code is fulfilled by IDS Scheer AG through the following measures:

• Annual shareholders’ meeting
• Financial calendar with the most important dates in the fiscal year
• Timely publication of all relevant information in German and English
• Regular annual reports and interim reports
• Annual financial press conference and teleconferences
• Ad hoc news
• Communication of Directors' Dealings according to § 15 of the Securities Trading Act (Wertpapierhandelsgesetz or WpHG)
• Information about the Executive and Supervisory Boards
• Regular review and expansion of the risk management system
